Service Terms

These Service Terms ("Terms") govern your access to and use of the Chimera appointment booking platform provided by Tirion LLC ("we", "us", "our"). By creating an account or using Chimera, you agree to be bound by these Terms.

1. Access to the Service

We grant you a nonexclusive, limited, nontransferable right to use Chimera during your active subscription for your internal business purposes, in accordance with your selected plan and these Terms.

2. Plans and Billing

Chimera is offered on a subscription basis. Fees are based on your selected plan (Solo or Pro) and billing period (monthly or annual). All fees are in U.S. dollars, non-refundable, and invoiced through Stripe.

Past due invoices accrue interest at 1.5% monthly or the legal maximum, whichever is lower. You are responsible for all applicable taxes.

3. Free Trial

New accounts receive a 14-day free trial. Trial services are provided "as-is" without warranties or indemnification. We may terminate trial access at any time. Your booking page becomes inactive when the trial expires unless you subscribe to a paid plan.

4. Your Data

You retain ownership of all data you submit to Chimera ("Customer Data"). You represent that you have all necessary rights and authorizations to provide this data. You are responsible for the accuracy, quality, and legality of your data.

We may use Customer Data to provide and improve Chimera Services, and may generate aggregated, de-identified data for business purposes. Accounts more than 90 days delinquent may be deleted without recovery.

5. Protected Health Information

If you use Chimera to process Protected Health Information (PHI), you must execute a Business Associate Agreement with us. All patient information stored in Chimera is encrypted at rest. You must use only Chimera-provided channels for transmitting PHI.

You must maintain reasonable security measures for your account credentials and notify us promptly of any security breach.

7. Intellectual Property

We retain all intellectual property rights in Chimera. You grant us a nonexclusive, worldwide, perpetual, royalty-free license to use any feedback you provide about the service.

8. Third-Party Integrations

Chimera offers optional integrations with third-party services such as Google Calendar, Microsoft Outlook, Zoom, and CalDAV calendar servers. These integrations are provided as a convenience and require you to authorize access to your account with each service.

You are responsible for ensuring your third-party accounts comply with applicable regulations. If you enable PHI certification for an integration, you certify that your account with that service is covered by a Business Associate Agreement and is authorized to receive patient appointment data. We are not responsible for the availability, security, or data handling practices of third-party services.

You may disconnect integrations at any time from the Apps page in your dashboard. Disconnecting an integration does not remove events or meetings already created on the third-party service.

9. Service Updates

We may provide upgrades, patches, and new features at our discretion. We will notify you in advance of any material changes to functionality or pricing.

10. Confidentiality

Both parties agree to protect confidential information received from the other party. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties without confidentiality obligations.

11. Term and Termination

Subscriptions automatically renew for successive periods of equal length unless either party provides 30 days' written notice of non-renewal.

Either party may terminate for material breach if the breaching party fails to cure within 30 days of written notice. We may suspend access if your account is more than 60 days past due or if your use damages the service.

12. Indemnification

We will defend you against third-party claims that Chimera infringes intellectual property rights, provided you notify us promptly and allow us to control the defense. You will defend and indemnify us against claims arising from your data, your use of Chimera, or violations of these Terms.

13. Disclaimer

Chimera is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose. We do not guarantee uninterrupted or error-free operation.

14. Limitation of Liability

Neither party is liable for lost profits, data loss, or indirect, special, or consequential damages. Total liability is limited to the fees paid in the preceding 12 months. Claims must be reported within 30 days of the performance failure.

15. General

These Terms are governed by the laws of the State of California. These Terms, together with any applicable Business Associate Agreement, constitute the entire agreement between you and Tirion LLC regarding Chimera. We may modify these Terms by posting revisions on our website or notifying you by email. Continued use after modifications constitutes acceptance.
